General Terms of Use for the Following sera Application Tools:

Section 1 Subject Matter of the Contract

  1. sera GmbH, sera-Str. 1, 34376 Immenhausen, Germany (hereinafter: sera) provides its contractual partners (Users) with the above-named sera application tools (hereinafter: application tools) to use free of charge.
    The application tools offer assistance in the selection and conception of sera products based on current state-of-the-art technology.
    Users can use the application tools to configure and select sera products. The User also receives additional information and technical data regarding sera products.

  2. By registering, the User declares that it wishes to use the application tools and acknowledges these Terms of Use.

  3. These Terms of Use exclusively govern the relationship between sera and the User with regard to the application tools; the acceptance of quotes or the entering into of purchase contracts do not take place within the context of the application tools.

  4. The application tools are a non-binding offer from sera.

  5. sera reserves the right to discontinue the operation of the application tools in whole or in part, temporarily or permanently, at any time without stating reasons and/or only to offer the application tools, in whole or in part, subject to a fee.

  6. The use of the application tools is only permitted for companies; consumers and private persons may not sign up for this service.

  7. The contract with sera comes into effect if sera accepts this offer upon concluding the usage agreement, whereby sera first grants access to the application tools.


Section 2 Obligations of the User

  1. The use of the application tools requires the User to register with sera in advance.
    In the event of acceptance of the registration by sera, the User receives the assigned usernames and the corresponding password.
    The username and password can only be changed by sera.

  2. The User is obliged and shall ensure that its username and password are kept protected from access by third parties and that this information is not passed on to third parties.
    In addition, the User bears sole responsibility for the handling of its access data. sera assumes no liability for damage incurred through the use, misuse or incorrect use of this data.
    In particular, the User must inform sera immediately should it suspect that unauthorised third parties have learnt its password. The User must change its password immediately should it suspect that an unauthorised person is in possession of its usernames and password.
    The previous password shall become invalid upon the password being changed.

    The User is entitled to inform its employees of the confidential access data. The scope of such information is limited to the extent that is necessary for the purpose of this contract. The User assigns the same confidentiality obligation that the User is bound by to the employee entrusted with confidential information by means of a written contract.

    In order to achieve the purpose of the contract, the confidential login data may also be passed on to third parties, provided that sera has explicitly consented to this in advance.
    In the event of the publication of the login data, the User assigns the confidentiality obligations it is bound by to the persons or companies to which the confidential information is transferred. The transfer of the User’s confidentiality obligation to third parties establishes a genuine contract for the benefit of sera. The User shall be jointly and severally liable for the third party’s compliance with this confidentiality agreement.

  3. It is necessary to register with usernames and a password in order to have full use of the possible functions of the application tools. The data required for registration should be provided truthfully and in full by the User. The User has no entitlement to access to the application tools.
    The User shall ensure that access is only used for its own purposes (taking Section 2 Point 2 into consideration).

    The User is obliged to inform sera immediately of any changes to its information (name, address, email address, etc.).

    By registering, the User declares its consent to this basic data being stored in connection with any contractual relationship existing between it and sera and to it being used, saved and/or processed in relation to the application tools, provided that this is required for the use of the application tools. This is also regulated in more detail in the context of the Data Protection Declaration.

    sera is entitled to revoke the use of the application tools and block access to the application tools at any time without prior notice. For example, this may take place if the information provided in the registration form is not truthful or the User misuses the information provided or negatively affects the functionality of the tools. Furthermore, access authorisation may be revoked should these Terms of Use be violated or should the obligation to exercise care when handling the access data provided not be observed.


Section 3 Availability of Application Tools

  1. Due to technical reasons (e.g. for maintenance purposes), it may transpire that the application tools or their content, whether temporarily or permanently, may only be usable to a limited extent or not at all. This applies particularly in the event of faults that are outside of sera’s sphere of operations.
    sera therefore cannot guarantee the availability of the portals at all times. The Parties also agree that data communication via the internet cannot be guaranteed to be flawless and/or available at all times in accordance with the current state of technology.

  2. The User undertakes to keep important information that it has filed or saved in connection with the application tools stored in another safe place, as the constant accessibility of this information via the application tools cannot be guaranteed.


Section 4 Duration/Termination/Block

  1. After registration and initial access by the User, the contract governing the use of application tools lasts for an unspecified duration.

  2. The Contract may be terminated by either Party at any time without the observance of any notice period.
    The deletion of the account by the User or the withdrawal of use by sera also count as termination.

  3. The termination or end of the contract lead to a direct blocking of the account.
